Terms Of Use & End User License Agreement

1. Eligibility; Accounts; Security

1.1 Eligibility. You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into this Agreement.

1.2 Account Registration. You must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

1.3 Security. Do not share your credentials, access tokens, or multifactor codes. You must promptly notify us of any suspected unauthorized access. We may monitor, suspend, or terminate accounts for suspected or actual misuse.

1.4 Consent by Account Creation or Use (Including Click-to-Accept at Checkout). By creating an account, subscribing, purchasing, clicking “I Agree,” “Subscribe,” “Purchase,” “Complete Order,” or similar button at checkout (a “Click-to-Accept”), or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all incorporated Policies, including the refund/cancellation terms in Section 5. If you do not agree, do not create an account or use the Platform.

1.5 Electronic Records of Assent. You consent to the use of electronic records (including time-stamped logs) to evidence your agreement via Click-to-Accept or account creation, including the version of these Terms presented at the time you agreed.

2. Definitions

2.1 Proprietary Tools means any and all proprietary or licensed software, algorithms, models, indicators, scripts, modules, code (source or object), data schemas, dashboards, alerts, analytics, and related features that StickyTrades makes available (including beta features) to Users.

2.2 Content means any information, text, images, video, audio, data, market data, signals, forecasts, dashboards, visualizations, documentation, tutorials, or other materials on or through the Platform, including Outputs (defined below).

2.3 Outputs means any results, signals, alerts, calculations, forecasts, charts, or other materials generated, displayed, or exported by the Proprietary Tools or the Platform.

2.4 Error Tolerance means the inherent and permitted range of inaccuracies, imprecision, delay, noise, or incompleteness in the Proprietary Tools, Content, or Outputs, as further described in §11.

2.5 Store Credit means non-transferable account credit applied to your StickyTrades account that may be used only for eligible StickyTrades offerings as displayed in your account and subject to any stated restrictions.

2.6 List Monthly Rate means the undiscounted month-to-month price for a subscription or service as displayed at the time of your purchase or as otherwise disclosed at checkout.

3. License; Scope of Use (OnPlatform Only)

3.1 Limited License. Subject to your ongoing compliance with this Agreement, StickyTrades grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Platform and Proprietary Tools solely via the Platform for your personal, lawful, educational, and noncommercial use.

3.2 OnPlatform Only. You may access and use Proprietary Tools only within the Platform. You may not download, copy, extract, cache, save, export, mirror, host, frame, scrape, or otherwise remove any portion of the Proprietary Tools from the Platform infrastructure.

3.3 Outputs – Limited Personal Use. Subject to §§ 4 and 9, you may view Outputs on the Platform for personal educational purposes only. You may not take screenshots, screen recordings, photographs, or any other image, video, or data capture of the Platform, Proprietary Tools, or Outputs, even as a paying member. All such acts are strictly prohibited because access to the Platform provides all necessary ongoing use of these materials.

Users who cease paying or whose subscriptions expire or are terminated lose all access rights and may not retain, reproduce, or use any materials, including screenshots, recordings, or copies.

3.4 Reservation of Rights. StickyTrades and its licensors retain all right, title, and interest in and to the Platform, Proprietary Tools, Content, and all intellectual property rights therein. No rights are granted by implication.

4. Prohibited Conduct

You shall not, and shall not permit or assist any third party to:

4.1 Reverse Engineering / Derivation. Reverse engineer, decompile, disassemble, translate, adapt, or otherwise attempt to derive the source code, underlying ideas, algorithms, models, or data structures of the Proprietary Tools or Platform.

4.2 Copying / Extraction / Circumvention. Copy, reproduce, extract, download, export, cache, screenscrape, spider, crawl, mine, mirror, frame, or otherwise remove any part of the Proprietary Tools, Content, or Outputs; bypass, defeat, or circumvent any paywall, access control, rate limit, DRM, encryption, or other technical protection measure.

4.3 Screenshots / Recordings Strictly Prohibited. Users are strictly prohibited from taking screenshots, photographs, screen recordings, or any other image, audio, or video capture of the Platform, Proprietary Tools, or Outputs. This prohibition applies at all times, including for paying members. StickyTrades provides continuous access to all purchased materials through the Platform; therefore, no duplication or capture is ever necessary or authorized.

Any unauthorized capture, duplication, or sharing of our materials constitutes a material breach of this Agreement.

4.4 Penalties for Unauthorized Capture. Any attempt to capture, record, or otherwise duplicate any part of the Platform, Proprietary Tools, or Outputs—whether by screenshot, photograph, recording, or other means—will result in immediate termination of access without refund. StickyTrades reserves the right to pursue damages, injunctive relief, and any other remedies available at law or in equity for each violation, including recovery of losses resulting from unauthorized dissemination.

4.5 Unauthorized Sharing. Share, transfer, lend, rent, lease, sublicense, resell, or otherwise make available the Proprietary Tools, Content, or Outputs (including any captures, screenshots, or recordings) outside the Platform or to any person who is not an authorized, paying user.

4.6 Illegal / Harmful Activity. Use the Platform for unlawful, infringing, fraudulent, deceptive, harassing, or harmful purposes, or in violation of applicable sanctions, export controls, or marketmanipulation laws.

5. Subscriptions; Payments; Refunds

5.1 Subscriptions. Certain features require paid subscriptions or onetime fees. Prices, features, and billing cycles will be presented at purchase and may change as permitted by law.

5.2 AutoRenewal. Subscriptions will automatically renew at the the current price unless cancelled before the renewal date, subject to any applicable laws and the refund/cancellation terms in §5.3–§5.8 below.

5.3 Refund & Cancellation Terms (Refund Policy Stated Here)

(a) General Rule: All Sales Final. Except as required by law or expressly stated in this Section 5, all sales are final.

(b) How to Cancel. You may cancel your subscription at any time via your account settings/subscription preferences (or by contacting support if account access is unavailable). Cancellation stops future renewals but does not automatically entitle you to a cash refund.

(c) Remedy Type (Including Store Credit). To the maximum extent permitted by applicable law, StickyTrades may, in its discretion, provide any remedy related to cancellation or billing issues as non-transferable Store Credit rather than returning funds to the original payment method. By agreeing to these Terms at checkout, you consent to the possibility of Store Credit in lieu of a monetary refund, except where prohibited by law.

(d) Discounted/Annual/Bundled Plans; Discount Recapture / Repricing. If you purchased a discounted plan (including annual or bundled plans), and you cancel early or request an adjustment before the end of the paid term, StickyTrades may apply a deduction to reflect the value of access already received at the List Monthly Rate (“Discount Recapture”). This can substantially reduce any credit/remedy amount compared to a simple pro-rate of the discounted price.

(e) Discount Recapture Example Calculation. Unless a different method is clearly disclosed at checkout for a particular offer, Discount Recapture may be calculated as:

• Value of Access Used = (List Monthly Rate) × (months or partial months of access used)
• Credit/Remedy Amount = (Amount Paid) − (Value of Access Used) − (any non-refundable fees disclosed at checkout)

(f) Non-Refundable Fees. If disclosed at checkout, setup, onboarding, processing, or similar fees are non-refundable and may be deducted from any credit/remedy calculation.

(g) Timing. If StickyTrades elects to provide Store Credit or another remedy, we will generally process it within fourteen (14) business days after cancellation is confirmed and calculations are complete, subject to fraud prevention, verification, and operational constraints.

(h) Proof of Credit/Remedy Provided. StickyTrades maintains records of Store Credit and other remedies issued and may provide evidence of issuance upon reasonable request, including for dispute/chargeback resolution.

5.4 Checkout Assent & Conspicuous Disclosure

For purchases requiring payment, StickyTrades may require a Click-to-Accept acknowledgment at checkout. You agree that this Click-to-Accept constitutes your electronic signature and forms a binding agreement that includes these refund/cancellation terms.

5.5 Recordkeeping for Disputes

StickyTrades may retain digital records showing (i) your affirmative acceptance of these Terms at checkout (including timestamp and version presented), and (ii) evidence of any Store Credit or other remedy applied to your account. You consent to such recordkeeping for account administration, fraud prevention, and dispute/chargeback response.

6. Privacy; Data

6.1 Privacy Policy. Our collection and use of personal data is described in our Privacy Policy, which is incorporated by reference.

6.2 Usage Monitoring. We may monitor use of the Platform (including logs, device identifiers, and telemetry) to secure the Platform, enforce this Agreement, detect misuse, and improve services.

6.3 Audit Rights. To verify compliance, we may request reasonable cooperation or conduct remote usage reviews. If noncompliance is detected, you shall promptly cure it and pay applicable fees or damages.

7. ThirdParty Services & Data

The Platform may reference or integrate thirdparty services, data, or content. StickyTrades is not responsible for thirdparty materials or their accuracy, completeness, timeliness, or availability. Your use of thirdparty services is governed by their terms.

8. Intellectual Property; Feedback; DMCA

8.1 Ownership. StickyTrades and its licensors own all intellectual property in the Platform, Proprietary Tools, and Content.

8.2 Feedback. If you provide ideas, suggestions, or feedback, you grant StickyTrades a perpetual, irrevocable, worldwide, royaltyfree license to use and exploit them without restriction or compensation.

8.3 DMCA / IP Complaints. If you believe content infringes your rights, contact us at Support@stickytrades.com with a compliant notice. We may remove content and/or terminate repeat infringers.

9. OnPlatform Use of Outputs; No External Redistribution

9.1 Personal, OnPlatform Use Only. Outputs may be viewed and used only within the Platform for personal educational purposes.

9.2 No Externalization. Without our prior written consent, you may not export, publish, broadcast, stream, post, email, text, transmit, or otherwise make available Outputs (or any substantial portion or systematic selection thereof) outside the Platform. Prohibited externalization includes but is not limited to screenshots, video captures, copy/paste, scraping, API calls, automated capture, or systematic manual transcription.

9.3 No Model Training / Data Mining. You may not use any Proprietary Tools, Content, or Outputs to train, finetune, benchmark, or improve any machinelearning models, or for data mining or dataset creation, except with our prior written consent.

10. Educational Use; No Investment or Trading Advice

10.1 Informational Purposes Only. The Platform, Proprietary Tools, Content, and Outputs are provided for educational or informational purposes only and do not constitute personalized investment, trading, financial, tax, accounting, or legal advice.

10.2 No AdvisorClient Relationship. Your use of the Platform does not create an advisorclient, fiduciary, or professional services relationship with StickyTrades.

10.3 Independent DecisionMaking. You agree not to rely solely on the Platform, Proprietary Tools, Content, or Outputs when making trading or investment decisions, and you will seek independent professional advice suited to your circumstances.

11. Accuracy; Error Tolerance; Market Risks

11.1 No Guarantee of Accuracy or Completeness. The Platform, Proprietary Tools, Content, and Outputs may include errors, omissions, delays, approximations, or outdated information. We do not warrant that any item will be 100% accurate, reliable, timely, or complete.

11.2 Error Tolerance. You expressly acknowledge and agree that the Platform and Proprietary Tools operate with an allowable tolerance for inaccuracies and imprecision, including but not limited to deviations from actual market values, delayed or missing data, model error, and other imperfections. Such imperfections are expected and do not constitute a breach of this Agreement, nor do they entitle you to refunds, offsets, or other remedies beyond those expressly provided herein.

11.3 Market & Trading Risks. Trading involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results. You are solely responsible for evaluating risks and outcomes.

12. Service Availability; Modifications; Beta Features

12.1 Availability. The Platform may be unavailable, interrupted, limited, or degraded (e.g., for maintenance, changes, outages, or thirdparty failures). We are not liable for any unavailability or resulting

12.2 Modifications. We may modify or discontinue any part of the Platform at any time, with or without notice.

12.3 Beta / Experimental Features. Beta or experimental features may be incomplete, less reliable, or changed/removed without notice and are provided “AS IS,” subject to all disclaimers herein.

13. Term; Suspension; Termination

13.1 Term. This Agreement begins when you first access the Platform and continues until terminated as set forth herein.

13.2 Suspension/Termination by StickyTrades. We may suspend or terminate your access immediately for actual or suspected violations, fraud, nonpayment, or risk to the Platform.

13.3 Your Termination. You may stop using the Platform and cancel subscriptions as provided in §5. Termination does not relieve you of accrued fees or obligations.

13.4 Effect of Termination. Upon termination, your license and access cease immediately. You must cease all use and delete any copies or extracts of Proprietary Tools, Content, or Outputs in your possession or control.

13.5 Injunctive Relief. Unauthorized copying, extraction, sharing, or reverse engineering will cause irreparable harm. We may seek injunctive relief, specific performance, and other equitable remedies without posting a bond or proving damages, in addition to all other remedies.

14. Indemnification

You will defend, indemnify, and hold harmless StickyTrades and its affiliates, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Platform, Proprietary Tools, Content, or Outputs; (b) your breach of this Agreement; (c) your violation of law or thirdparty rights; or (d) any Externalization prohibited by §9.

15. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, PROPRIETARY TOOLS, CONTENT, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF ACCURACY, RELIABILITY, TIMELINESS, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NONINFRINGEMENT, OR ARISING FROM COURSE OF DEALING OR USAGE.

WITHOUT LIMITATION, STICKYTRADES DOES NOT WARRANT THAT THE PLATFORM WILL BE ERRORFREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

16. Limitation of Liability

16.1 No Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STICKYTRADES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; TRADING LOSSES; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STICKYTRADES’ TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID TO STICKYTRADES FOR ACCESS TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

16.3 Inaccuracies & Error Tolerance. WITHOUT LIMITING THE FOREGOING, STICKYTRADES WILL HAVE NO LIABILITY FOR ANY LOSSES OR DAMAGES ARISING FROM (A) ANY INACCURACY, ERROR, DELAY, OR OMISSION IN THE PLATFORM, PROPRIETARY TOOLS, CONTENT, OR OUTPUTS; (B) THE ERROR TOLERANCE ACKNOWLEDGED IN §11; OR (C) YOUR RELIANCE ON THE PLATFORM, PROPRIETARY TOOLS, CONTENT, OR OUTPUTS.

16.4 Essential Basis. The limitations in this §16 are an essential basis of the bargain between the parties and will apply even if a remedy fails its essential purpose.

17. Compliance; Export; Sanctions; International Use

You must comply with all applicable laws, including export controls, sanctions, and financialservices regulations. You may not access or use the Platform in any jurisdiction where such access or use is prohibited or would subject StickyTrades to any registration or local obligations. We may restrict or terminate access to comply with law.

18. Governing Law; Venue; Global Enforceability

18.1 Governing Law. This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflictoflaw principles.

18.2 Venue; Jurisdiction. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware, for all disputes not subject to arbitration (if any) and for equitable relief.

18.3 International Users; Maximum Enforceability. This Agreement is intended to be enforceable to the maximum extent permitted by applicable law in all jurisdictions. If any provision is unenforceable in a particular jurisdiction, it shall be enforced to the fullest extent permitted, and the remainder shall continue in full force and effect.

18.4 Class Actions; Jury Trial. To the maximum extent permitted by law, you and StickyTrades waive any right to a jury trial. Class or representative actions are permitted only if required by applicable law; otherwise, they are waived.

19. Changes to this Agreement

We may update this Agreement by posting a revised version on the Platform with a new Effective Date. Material changes will be communicated via reasonable means. Your continued use after the Effective Date constitutes acceptance of the updated Agreement.

20. Force Majeure

StickyTrades is not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, cyberattacks, failures of suppliers or utilities, or government actions.

21. Assignment; No ThirdParty Beneficiaries

You may not assign or transfer this Agreement without our prior written consent. We may assign it in connection with a merger, acquisition, reorganization, or sale of assets. There are no thirdparty beneficiaries.

22. Notices; Contact

Notices to StickyTrades must be sent to 1209 N. Orange Street, Wilmington, Delaware 19801, or Support@stickytrades.com. We may provide notices via the Platform, email, or other reasonable means.

23. Entire Agreement; Severability; Waiver; Interpretation

23.1 Entire Agreement. This Agreement, together with the Policies, constitutes the entire agreement between you and StickyTrades regarding the Platform and supersedes prior or contemporaneous understandings.

23.2 Severability. If any provision is held invalid, illegal, or unenforceable, it shall be enforced to the maximum extent permitted, and the remainder shall remain in effect.

23.3 Waiver. No waiver of any provision is effective unless in writing and signed by StickyTrades. Failure to enforce any provision is not a waiver.

23.4 Headings. Headings are for convenience only and do not affect interpretation.

24. Acknowledgment

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THIS AGREEMENT, INCLUDING THE ERROR TOLERANCE (§11), NOADVICE (§10), LIMITATION OF LIABILITY (§16), ONPLATFORMONLY USE (§§ 3 & 9), AND PROHIBITED CONDUCT (§4) PROVISIONS.
